Thank you for using MD GFOA.ORG the official portal of the Maryland Government Finance Officers Association (MD GFOA). We hope that MD GFOA.ORG has made your dealings with our organization easier and more efficient. Your access to the MD GFOA web site (the “Site”) is in consideration for your agreement to these Terms and Conditions of Use, whether or not you are a registered user. By accessing, browsing, and using the Site, you accept, without limitation or qualification, these Terms and Conditions of Use.

General User Terms and Conditions

Your access to and use of the MD GFOA web site is subject to all applicable laws and regulations and these General User Terms and Conditions - which may be changed or updated by us from time to time without notice to you. In consideration of your use of the web Site, you accept, without limitation or qualification, the General User Terms and Conditions.
The Site was developed for the purpose of providing useful information for its members, prospective members, local governments, businesses, and others interested in the Association. The MD GFOA reserves the right to add, remove or edit any materials from its official web site without notice. The information and features posted to our web site have been compiled from a variety of sources and are subject to change at any time without notice. While we do our best to keep information on our web site current, all the information it contains is provided "AS IS."

For your convenience, the Site contains hypertext or other links to external Internet sites that are not provided or maintained by MD GFOA. The MD GFOA does not control these websites nor do we review or control their content. The MD GFOA provides these links to our members and users for their convenience. These links are not an endorsement of products, services, or information, and do not imply an association between the MD GFOA and the operators of the linked website. Refer to the Terms of Use for those sites outside of MD GFOA control. MD GFOA is not responsible for the content of any such external site, or for the availability of the site or its content. If you have questions or concerns regarding the content of any of these external sites, you should contact the external site administrator directly.

Conduct

You agree to access and use the Site only for lawful purposes. You are solely responsible for the knowledge of and adherence to any and all laws, statutes, rules and regulations pertaining to your use of the Site. By accessing the Site, you agree that you will not:
· Use the Site to commit a criminal offense or to encourage others to conduct that which would constitute a criminal offense or give rise to a civil liability;
· Post or transmit any unlawful, threatening, libelous, harassing, defamatory, vulgar, obscene, pornographic, profane, or otherwise objectionable content;
· Use the Site to impersonate other parties or entities;
· Use the Site to upload any content that contains a software virus, "Trojan Horse," worm or any other computer code, files, or programs that may alter, damage, or interrupt the functionality of the Site or the hardware or software of any other person who accesses the Site;
· Upload, post, email, or otherwise transmit any materials that you do not have a right to transmit under any law or under a contractual relationship;
· Alter, damage, or delete any content posted on the site;
· Disrupt the normal flow of communication in any way;
· Claim a relationship with or speak for any business, association, or other organization for which you are not authorized to claim such a relationship;
· Post or transmit any unsolicited advertising, promotional materials, or other forms of solicitation;
· Post any material that infringes or violates the intellectual property rights of another; or
· Collect or store personal information about others.

Policy on Spamming

You specifically agree that you will not utilize email addresses obtained through using the Site to transmit the same or substantially similar unsolicited message to 10 or more recipients in a single day, nor 20 or more emails in a single week (consecutive 7-day period), unless it is required for legitimate business purposes. The MD GFOA, in its sole and exclusive discretion, will determine violations of the limitations on email usage set forth in these Terms and Conditions of Use.

Termination of Use

MD GFOA may, in its sole discretion, terminate or suspend your access and use of this Site without notice and for any reason, including for violation of these Terms and Conditions of Use or for other conduct which the MD GFOA, in its sole discretion, believes is unlawful or harmful to others. In the event of termination, you are no longer authorized to access the Site, and the MD GFOA will use whatever means possible to enforce this termination.

Disclaimer of Warranty

You expressly understand and agree that your use of the Site, or any material available through this Site, is at your own risk. Neither the MD GFOA nor its members, officers or directors warrant that the Site will be uninterrupted, problem-free, free of omissions, or error-free; nor do they make any warranty as to the results that may be obtained from the use of the Site. The content and function of the Site are provided to you "as is," without warranties of any kind, either express or implied, including, but not limited to, warranties of title, merchantability, fitness for a particular purpose or use, or "currentness."

Limitation of Liability

Under no circumstances shall MD GFOA or its members, officers, or directors be liable for any incidental, direct, indirect, special, punitive, exemplary, or consequential damages, including without limitation, loss of revenue or anticipated profits, loss of goodwill, loss of business, loss of data, computer failure or malfunction, or any and all other damages that result from:
1. The use of, or inability to use, the Site
2. The disclosure of, or corruption, or erasure of, data transmitted or received or stored on any host server associated with the Site, including credit card or other financial transactions.
3. The use of any other materials or services provided, or promised to be provided.
4. Any other activities associated with the creation or use of this Site.
This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if MD GFOA has been advised of the possibility of such damage.

Indemnification

You agree to defend, indemnify, and hold harmless the MD GFOA and its members, officers, and directors from any and all liabilities, claims, and expenses, including attorney’s fees, that arise from the creation or use of this Site, or in connection with any claim arising from any breach by you of these Terms and Conditions of Use. You agree to cooperate as fully as may be reasonably possible in the defense of any such claim. The MD GFOA reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with MD GFOA in asserting any available defenses. You in turn shall not settle any matter without the written consent of the MD GFOA.

Choice of law and forum

This agreement shall be governed by and construed in accordance with the laws of the state of Maryland, excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction, for any claim or action arising out of or relating to goods or services provided under or in relation to this agreement, shall be filed only in the state or federal courts located in the state of Maryland, and further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.

Severability

If any part of this agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties and the remaining portions shall remain in full force and effect.

Modification of the Agreement

MD GFOA maintains the right to modify these Terms and Conditions of Use and may do so by posting notice of such modifications on this page. Any modification is effective immediately upon posting the modification unless otherwise stated. Your continued use of the Site following the posting of any modification signifies your acceptance of such modification.
